HF Sourcing Platform Service Agreement

HF Sourcing provides the services described below subject to the following terms and conditions. Please read them carefully.
Welcome to the Service Agreement (the “Agreement”) of Huizhou Hongfeng Yuanying Technology Co., Ltd. (referred to as “HF Sourcing”). The terms and conditions set forth in this Agreement apply to your use of the various tools and services (the “Services”) provided by HF Sourcing for business-to-business (B2B) trading and communication in the global electronic market (e-market), available through the HF Sourcing website (hfcnsourcing.com), desktop client, and related mobile applications (collectively, the “HF Sourcing Platform” or the “Platform”).
The HF Sourcing Platform Services include, through the Platform: Sourcing, Factory Audit, Quality Control (QC), and Source Finding, among other products and services (the actual scope is as provided from time to time). You may choose to use one or more specific services according to your needs and comply with their respective service rules. The service terms, rules, descriptions, and standards that apply to a specific service (its content, service level, technical specifications, operating documentation, billing standards, etc.) are collectively referred to as the “Service Rules” and are subject to what is displayed on the relevant pages of the HF Sourcing Platform. Where a separate service agreement or contract for a specific service is inconsistent with this Agreement, that separate agreement or contract prevails; where the separate agreement or contract is silent, this Agreement prevails.
Article 2 Registration
1. Eligibility
You confirm that, when you complete the registration process or otherwise actually use the Services in a manner permitted by HF Sourcing, you are a natural person, legal person, or other organization with full civil capacity and the capacity appropriate to the civil acts in which you engage. If you do not have the above qualification, please do not use the Services; otherwise, you and your guardian (if any) shall bear all consequences arising therefrom, and HF Sourcing has the right to cancel (permanently freeze) your account. If this causes losses to HF Sourcing, HF Sourcing has the right to claim compensation from you and your guardian (if any). If you register as a member on the HF Sourcing website on behalf of other natural persons, legal persons, or other organizations, you declare and warrant that you have obtained valid authorization and have the right to bind such legal entities to the terms of this Agreement.
2. Account Registration
2.1 After you complete the registration process by filling in the information as prompted on the registration page, reading and agreeing to this Agreement, or after you complete the activation process as prompted on the activation page, reading and agreeing to this Agreement, or when you otherwise actually use the HF Sourcing Platform Services in any way, you become bound by this Agreement. You may use the email address you provided or confirmed, or other methods permitted by HF Sourcing, as your login credential for the HF Sourcing Platform.
2.2 You may set a username for your account, but such username must not infringe or be suspected of infringing the legitimate rights of others. If your username is suspected of infringing the legitimate rights of others, HF Sourcing has the right to terminate the Services provided to you and cancel your account. After account cancellation, the username will be opened to other eligible users for registration.
2.3 When completing the registration or activation process, you shall, in accordance with laws and regulations and the prompts on the relevant pages, accurately provide and promptly update your information so that it is true, timely, complete, and accurate. If HF Sourcing has reasonable grounds to suspect that the information you provided is erroneous, untrue, outdated, or incomplete, HF Sourcing has the right to send you inquiries and/or notices requesting correction, and has the right to directly delete the relevant information, until suspending or terminating the provision of part or all of the HF Sourcing Services to you. HF Sourcing shall not bear any responsibility for this, and you shall bear any direct or indirect losses and adverse consequences arising therefrom.
3. Currently, the HF Sourcing Platform allows one legal entity to hold multiple platform accounts, but one platform account can only correspond to one legal entity. Unless otherwise provided by law or effective legal instruments, or unless conditions published by the Platform are met, you may not transfer, gift, or allow others to inherit your platform account in any way. At the same time, when a qualified platform account transfer, gift, or inheritance occurs, the HF Sourcing Platform has the right to require you, and/or the transferee, recipient, or your heir, to provide qualified documents and materials and to handle the procedures in accordance with the Platform’s requirements.
4. You understand and agree that, to ensure account and transaction security, the HF Sourcing Platform has the right to require you to complete real-name verification of your platform account at any time; the Platform may also require you to provide additional identity information for certain products or services and to undergo further identity authentication or qualification verification. Your account will only be eligible to use the relevant products or services after passing such authentication and verification.
Article 3 Account Security
1. You are solely responsible for keeping your platform account and password confidential, and for all activities that occur under your login name and password (including but not limited to disclosure of information, posting of information, online consent or submission of various rules and agreements, online renewal of agreements, or purchase of services). You shall ensure that you leave the website correctly at the end of each online session. The HF Sourcing Platform cannot and will not be responsible for any loss or damage arising from your failure to comply with this provision.
2. If you discover that others have stolen your account and password, or any other unauthorized use, you shall promptly notify HF Sourcing in an effective manner and provide the necessary information (such as customer information, explanation of the situation, supporting materials, and claims, for identity verification). After HF Sourcing receives your valid notice and verifies your identity, it will handle the matter in accordance with laws, regulations, and Service Rules; the relevant responsibilities and consequences arising from the Platform’s handling of the matter pursuant to this provision shall be borne by you. If the information you provide is defective, causing HF Sourcing to be unable to verify your identity or understand your needs, and the Platform is unable to handle the matter in a timely manner, any losses you suffer shall be borne by you. You also understand that HF Sourcing needs a reasonable period to process your request, and HF Sourcing shall not be responsible for losses you incurred before the Platform took measures or for losses caused by factors not attributable to the Platform after the measures were taken.
3. You understand and agree that HF Sourcing has the right to understand the true background and purpose of your use of the website’s products and services, and has the right to require you to truthfully provide true, comprehensive, and accurate information. If HF Sourcing has reasonable grounds to suspect that the information you provided is untrue, that you are engaging in false transactions, or that your conduct violates the website’s rules, HF Sourcing has the right to temporarily or permanently restrict part or all of the functions of all products and/or services under your account.
4. You understand and agree that, based on operational and transaction security needs, HF Sourcing has the right to temporarily suspend or restrict part or all of the payment functions of your account. The Platform will notify you by email, in-site message, SMS, or phone, and you shall promptly pay attention and follow the procedures for appeal and subsequent operations.
5. You understand and agree that HF Sourcing has the right, in accordance with the requirements of national judicial, administrative, military, security and other authorities (including but not limited to public security organs, procuratorial organs, courts, customs, tax authorities, and security departments), to inquire about, freeze, or deduct your entity information and your funds, transactions, and accounts on the website
Article 4 Termination of Services
1. Termination:
1.1 You agree that, where HF Sourcing has not charged you a fee, HF Sourcing may, in its sole discretion, terminate your service password, account (or any part thereof) or your use of the Services for any reason (including but not limited to HF Sourcing’s belief that you have violated the letter or spirit of this Agreement, or that you have acted in a manner inconsistent with the letter or spirit of this Agreement). You agree that, where HF Sourcing has charged you a fee, HF Sourcing shall implement such termination based on reasonable suspicion and with notice by email. You further acknowledge and agree that, in the event HF Sourcing terminates your Services pursuant to this Agreement, it may immediately invalidate your account, or cancel your account and all relevant data and files in your account, and/or prohibit you from further accessing such files or Services. After account termination, HF Sourcing is under no obligation to retain any information in or related to your original account, or to forward any unread or unsent information to you or third parties. In addition, you agree that HF Sourcing shall not be liable to you or any third party for termination of the Services.
1.2 You have the right to request HF Sourcing to cancel your account. If approved by HF Sourcing after review, HF Sourcing will cancel your account, and the contractual relationship between you and HF Sourcing based on this Agreement shall terminate. After your account is cancelled, HF Sourcing is under no obligation to retain or disclose any information in your account, nor to forward any information you have not read or sent to you or third parties.
1.3 You understand and agree that after the termination of the contractual relationship between you and HF Sourcing:
a) HF Sourcing has the right to continue to retain your information.
b) If you committed illegal acts or violated this Agreement and/or the Rules during the period of using the Services, HF Sourcing may still assert its rights against you under this Agreement.
c) Any relationship between you and other users arising from the use of the Services during the period of using the Services shall not terminate upon termination of this Agreement. Other users still have the right to assert their rights against you, and you shall continue to perform your obligations as promised.
Article 5 Service Fees
1. HF Sourcing has the right to charge certain fees for the various services provided on the Platform. The specific content is subject to the fee rules published on the Platform or arrangements separately agreed with you.
2. Only after you comply with this Agreement, the relevant rules published on the Platform, and the relevant service agreements may you enjoy the relevant paid services.
Article 6 Terms of Use
1. When using HF Sourcing, you shall ensure compliance with national laws, regulations, and rules, and comply with HF Sourcing’s relevant agreements, provisions, rules, procedures, and practices. You may not use HF Sourcing for any illegal activities.
2. You are independently responsible for the truthfulness, accuracy, timeliness, completeness, and legality of all information you publish through HF Sourcing (including but not limited to personal information and business information, in forms including but not limited to text, images, and video).
3. Any notices sent by HF Sourcing by email will be sent to the email address you registered with HF Sourcing (you agree that if you modify the email address you originally submitted during registration and it is approved by HF Sourcing, the new email address shall prevail). Such emails are deemed delivered when they enter the receiving system of the aforementioned email address. HF Sourcing has the right to send you various commercial information related to the services provided by HF Sourcing through the contact methods you provided (including but not limited to email and SMS). If you refuse to continue receiving such commercial information, you must notify us in writing.
4. HF Sourcing prohibits you from publishing the following information on its website:
4.1 Information containing derogatory remarks about religion, race, or gender, or content that is obscene, pornographic, insulting, or defamatory;
4.2 Information infringing any third party’s copyright, patent, trademark, trade secrets, privacy, reputation, or other rights;
4.3 Any other information that violates national laws, regulations, and rules.
5. When using the services on the HF Sourcing Platform, you shall maintain the order and security of the Internet, shall not infringe the legitimate rights and interests of any entity, and shall not engage in, nor facilitate, the following acts, including but not limited to:
5.1 Engaging in fraud, false or misleading conduct, or any act infringing the intellectual property rights or other legitimate rights of others.
5.2 Publishing or disseminating spam (SPAM) or illegal information that endangers national order and security, feudal superstition, obscenity, pornography, vulgarity, etc.
5.3 Violating the operating regulations of networks, equipment, or services connected to the HF Sourcing Platform network; engaging in illegal or unauthorized access, theft, interference, or monitoring.
5.4 Engaging in any act that damages or attempts to damage network security, including but not limited to malicious scanning, illegal intrusion into systems, or illegal acquisition of data by means of viruses, Trojans, malicious code, phishing, etc.
5.5 Engaging in any act that changes or attempts to change the system configuration provided by the HF Sourcing Platform Services or undermines system security; using technical or other means to damage or disrupt the operation of the HF Sourcing Platform Services or others’ use of the HF Sourcing Platform Services; interfering with or attempting to interfere with the normal operation of any product, any part, or any function of the HF Sourcing Platform in any way, or producing, publishing, or disseminating the aforementioned tools, methods, etc.
5.6 Engaging in any business including but not limited to “DNS resolution”, “security services”, “domain proxy”, or “reverse proxy”, which results in you frequently suffering attacks (including but not limited to DDoS attacks) without promptly correcting your conduct, or failing to eliminate the impact as required by the HF Sourcing Platform, thereby affecting the Platform services or others.
5.7 Engaging in any other act that damages the order and security of the Internet.
6. HF Sourcing will make its best efforts to verify information submitted by members and will review, publish, or delete member-submitted information in accordance with relevant laws, regulations, and the Platform’s operating rules, but HF Sourcing cannot fully guarantee the truthfulness, accuracy, or legality of information published by members.
7. HF Sourcing contains links to other websites. HF Sourcing cannot control these websites or the resources they provide, so HF Sourcing makes no commitment regarding the truthfulness, accuracy, timeliness, or completeness of the content, advertisements, services, or product information on linked websites, and bears no legal liability for linked websites.
7.1 If you obtain or use any third-party products or services through the HF Sourcing Platform (including but not limited to products and services provided by service providers and other third parties in the HF Sourcing Platform service marketplace), you shall evaluate on your own whether such products or services meet your requirements.
7.2 The activation of third-party products or services may require you to sign a separate agreement with the third party. Such separate agreements may be presented in electronic form or as independent paper documents. You may decide whether to accept the agreement and use the products or services according to your own circumstances.
7.3 Any disputes arising from your use of third-party products or services shall be resolved between you and the third party, and any economic compensation involved shall be borne by you.
8. For company, product, or other information (including but not limited to text, images, and video) that you choose to post in publicly accessible areas of HF Sourcing, you agree to grant HF Sourcing a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and complete license and sublicense right to use, copy, modify, adapt, publish, translate, create derivative works from, disseminate, perform, and display such content (in whole or in part), and/or incorporate such content into any other form of work, media, or technology, whether currently known or hereafter developed. At the same time, you agree that HF Sourcing shall be exempt from any legal liability arising from such information as long as HF Sourcing has not changed the substantive content of the information you provided.
Article 7 Upload Service Terms
If you intend to use the HF Sourcing Platform to upload videos, images, and other content (hereinafter “Audiovisual Works”), you agree to the following terms:
1. You warrant that you have complete copyright in the Audiovisual Works you upload or have obtained legal authorization, and that you have not infringed any third party’s legitimate rights.
2. You warrant that the Audiovisual Works you upload do not contain:
2.1 Content that violates national laws and regulations, endangers national security and unity, national sovereignty and territorial integrity, ethnic unity, social stability, public order and good morals, social morality, or content that is insulting, defamatory, obscene, or contains any sexual or sexual implication, violence, pornography, gambling, terrorist activities, etc.;
2.2 Content that infringes others’ reputation, portrait rights, intellectual property, trade secrets, and other legitimate rights;
2.3 Content involving others’ privacy, personal information, or materials;
2.4 Harassment, advertising, or spam information;
2.5 Any other information that violates laws, regulations, policies, and public order and good morals, relevant Platform rules, or interferes with the normal operation of videos or infringes the legitimate rights and interests of third parties. If you upload or intend to upload Audiovisual Works containing the above content, HF Sourcing has the right to refuse to provide you with the Audiovisual Work upload service and to delete the Audiovisual Works you have uploaded without prior notice.
3. You may not use illegal methods to upload content for traffic manipulation or to upload spam advertisements. HF Sourcing will set a reasonable cap on each member’s daily upload volume; exceeding the corresponding volume may result in upload failure. If you violate the above provisions, HF Sourcing has the right to delete the Audiovisual Works you uploaded.
4. Content Upload and Authorization. You acknowledge and agree to grant HF Sourcing and its affiliated companies the right to use, in a worldwide, royalty-free, sublicensable, and multi-level re-licensable manner, and to provide to other members or third parties for download and use, all relevant rights (including but not limited to reproduction rights, compilation rights, and information network dissemination rights) in all Audiovisual Works you upload to the HF Sourcing Platform. You confirm and agree that the forms of use include but are not limited to use in specific products, services, or for the promotion of corresponding products and services. Except as expressly provided by law, based on your rights to and warranty of the Audiovisual Works, HF Sourcing shall not bear any legal liability for the use of the aforementioned content. If you object to the aforementioned authorization, please email info@hfcnsourcing.com.
5. If there are any legal issues or defects in your aforementioned rights warranties, which cause HF Sourcing to face claims from any unspecified third party, you agree that HF Sourcing shall handle the content by deleting it in accordance with national laws and regulations.
6. You are responsible for the accuracy, truthfulness, security, propriety, legal compliance, and timeliness of the content and information you upload to the HF Sourcing Platform. If you upload, publish, or transmit Audiovisual Works containing the content described in Article 2 above, or infringe any third party’s legitimate rights, you shall directly bear all adverse consequences arising from such conduct. If this causes adverse consequences to HF Sourcing, you shall eliminate the impact and compensate HF Sourcing for all losses arising therefrom, including but not limited to property damages, reputation damages, attorney fees, travel expenses, and other reasonable costs incurred in defending rights, or any other costs required by HF Sourcing.
7. If, due to laws, regulations, or regulatory requirements, HF Sourcing is unable to continue providing the Audiovisual Work upload service under this provision, HF Sourcing has the right to terminate the Services provided to you at any time without assuming any responsibility.
Article 8 Handling of Disputes, Controversies, and Complaints
1. Users agree that, when using the HF Sourcing Platform Services, if they discover any facts that may infringe their own or HF Sourcing’s rights, they shall promptly notify HF Sourcing and provide corresponding supporting materials. Users shall bear legal responsibility for losses caused to HF Sourcing or third parties by false complaints.
2. HF Sourcing has the right to accept and handle disputes, controversies, and complaints arising between you and other members from the use of HF Sourcing, and has the right to contact you to understand the situation by email and other means and to notify the other party of the situation by email and other means. You are obliged, after receiving notice from HF Sourcing, to provide corresponding information within the time specified by HF Sourcing to cooperate with the handling of disputes, controversies, and complaints. Otherwise, HF Sourcing has the right to independently determine whether other members’ complaints and/or compensation requests against you are valid and to make unfavorable handling results against you. If HF Sourcing determines that the compensation request is valid, you shall promptly make compensation. At the same time, HF Sourcing has the right to immediately suspend or terminate your relevant HF Sourcing Services or refuse your use of HF Sourcing in any form, and to provide your necessary identity information to the rights holder. HF Sourcing shall not be responsible for any reduction of services caused to you thereby.
3. Since HF Sourcing is not a judicial or other state authority, you fully understand and acknowledge that HF Sourcing has limited ability to identify evidence and handle disputes, and that accepting, handling disputes, controversies, and complaints is entirely based on your authorization. HF Sourcing does not guarantee that the handling results will meet your expectations, nor does it assume any responsibility for the handling results. HF Sourcing has the right to decide whether to participate in the handling of disputes.
4. If a member is confirmed by an effective legal instrument to have committed illegal acts or to have violated this Agreement, or if HF Sourcing determines on its own that a member is suspected of committing illegal acts or violating this Agreement, HF Sourcing has the right to publish the member’s illegal acts and take corresponding measures, including but not limited to terminating services and permanently prohibiting the use of HF Sourcing.
Article 9 Suspension and Termination
For the following conduct, HF Sourcing has the right to suspend or terminate the relevant services with or without notice, or refuse your use of HF Sourcing in any form, without assuming any responsibility for the resulting reduction of services, and reserves the right to pursue your legal liability:
1. When the entity qualification information you provided is inconsistent with the actual situation, you fail to promptly update the registration information, or when the actual business information is inconsistent with the certificate information, you fail to promptly update the certificate information;
2. Using HF Sourcing to mass-post duplicate information, publish information prohibited or restricted by national laws and regulations, publish information not within the member’s business scope, or information unrelated to HF Sourcing Services;
3. Sending large amounts of irrelevant business information to other HF Sourcing members without request or authorization;
4. Using another enterprise’s name to publish business information or conduct business activities;
5. Planning to damage or attack the integrity of the HF Sourcing website’s computer systems or networks, or attempting to gain unauthorized access to the HF Sourcing website’s computer systems or networks;
6. Using or providing any computer virus, disguised destructive program, computer worm, time bomb, or other destructive program that damages, interferes with, intercepts, or seizes any system, data, or personal data;
7. Stealing others’ login names and/or passwords on HF Sourcing;
8. Selling accounts or authorizing others to use accounts without HF Sourcing’s consent;
9. Engaging in, participating in, or being involved in any fraud, intellectual property infringement, or activity that damages HF Sourcing or any other HF Sourcing user or any counterparty to a transaction;
10. Other conduct that violates national laws, regulations, rules, public order and good morals, or HF Sourcing’s relevant agreements, provisions, rules, procedures, and practices.
Article 10 Scope of Liability and Limitation of Liability
1. You expressly understand and agree that HF Sourcing shall not be liable for any damages arising from any of the following circumstances, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (whether or not HF Sourcing has been informed of the possibility of such damages): (i) use or inability to use the Services; (ii) costs of obtaining substitute goods and services arising from purchasing or obtaining any goods, samples, data, materials, or services through or from the Services, or from receiving any information or entering into any transaction through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) any third party’s statements or conduct regarding the Services; or (v) any other matters related to the Services arising for any reason, including negligence.
2. HF Sourcing will make every effort to enable you to use the HF Sourcing Platform normally. Unfortunately, HF Sourcing cannot foresee any technical problems or other difficulties at any time. Such difficulties may result in data loss or other service interruptions. To this end, you expressly understand and agree that you use the Services at your own risk, and the Services are provided on an “as is” and “as available” basis. HF Sourcing expressly disclaims any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. HF Sourcing makes no warranty as to the following: (i) the Services will meet your requirements; (ii) the Services will not be interrupted, and will be timely, secure, and free of errors; (iii) the results obtained through the use of the Services will be accurate or reliable; and (iv) the quality of any products, services, materials, or other materials you purchase or obtain through the Services will meet your expectations. Any materials downloaded or otherwise obtained through the use of the Services are done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or any data loss resulting from your download of any such materials. Any oral or written opinions or materials you obtain from HF Sourcing or through or from the Services do not create any warranty not expressly stated in this Agreement.
Article 11 Indemnification
You agree that if you violate this Agreement or other documents incorporated into this Agreement by reference, or violate the law and infringe the legitimate rights of third parties, or are required to bear administrative or criminal responsibility for violating the law, causing third parties or administrative or judicial authorities to make claims or penalty demands against HF Sourcing (including judicial costs and fees of other professionals), you must fully indemnify HF Sourcing and hold it harmless from any losses.
Article 12 Links
The Services or third parties may provide links to other World Wide Web websites or resources. Since HF Sourcing does not control such websites and resources, you acknowledge and agree that HF Sourcing is not responsible for the availability of such external websites or resources, and does not endorse, and is not responsible or liable for, any content, advertising, products, services, or other materials on or available from such websites or resources. You further acknowledge and agree that HF Sourcing shall not be liable for any direct or indirect losses caused (or claimed to be caused) by the use of or reliance on such content, advertising, products, services, or other materials obtained from such websites or resources.
Article 13 Notices
1. You shall accurately fill in and promptly update the contact information you provide, including email address, phone number, contact address, and postal code, so that HF Sourcing or other users can contact you effectively. If you cannot be reached through such contact information, causing you to suffer any losses or incur any additional costs in using the HF Sourcing Services, you shall bear them entirely on your own. You understand and agree that you are obliged to keep the contact information you provide valid, and if there are any changes that require updating, you shall operate in accordance with HF Sourcing’s requirements.
2. Unless otherwise expressly provided, any notice between you and HF Sourcing shall be sent by email, with the email address for HF Sourcing being info@hfcnsourcing.com, or (on your part) sent to the email address you provided to HF Sourcing during registration, or such other address as the relevant party may specify. Notices shall be deemed delivered twenty-four (24) hours after the email is sent, unless the sender is informed that the relevant email address is invalid. Alternatively, HF Sourcing may send notices to the address you provided during registration by prepaid registered mail with return receipt requested. In that case, notices shall be deemed delivered three (3) days after the date of mailing.
Article 14 Force Majeure
HF Sourcing shall not be liable to you for delays or failures to perform its obligations caused by reasons beyond HF Sourcing’s reasonable control, including but not limited to natural disasters, epidemics, strikes or riots, material shortages or rationing, riots, acts of war, government actions, hacker attacks, communications or other facility failures, or serious casualties.
Article 15 Governing Law, Jurisdiction, and Miscellaneous
1. The validity, interpretation, modification, execution, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China. Where no relevant law provides otherwise, generally accepted international commercial practices and/or industry practices shall apply.
2. You and HF Sourcing are independent contractors. This Agreement does not intend to create or establish any agency, partnership, joint venture, employment, or other authorized relationship.
3. You agree that HF Sourcing has the right, for business operational needs, to transfer part or all of its rights and obligations under this Agreement without further notice to or consent from you.
4. Any disputes arising from or related to this Agreement shall be brought to the People’s Court of Huizhou for litigation.
5. This Agreement supersedes any prior written or oral agreements between you and HF Sourcing on the same matters. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall be observed and enforced. The article headings are for convenience of reference only and do not in any way define, limit, interpret, or describe the scope or extent of such provisions. HF Sourcing’s failure to take action regarding your or another person’s breach of contract does not indicate that HF Sourcing waives its right to take action regarding any subsequent or similar breach.
